Mas, MasTec's Chief Executive Officer ("Selling Shareholders") agreed to sell pursuant to Rule 144 under the Securities Act a total of 3.3 million shares of MasTec common stock. The shares have been sold in connection with personal financial planning and estate matters. Following the sales, the Selling Shareholders' respective beneficial ownership of MasTec's common stock will remain in excess of 17.0 million shares.
